These Terms of Service ("Terms") govern your access to and use of the website, software, and services provided by Global Agri Solutions LLC ("Global Agri," "we," "us," or "our"). By accessing our Website or engaging our services, you agree to these Terms.

1. Description of Services

Global Agri provides custom software engineering services, including harvest and load dispatch, cold-chain and yield tracking, equipment fleet maintenance, broker and buyer matching, compliance and traceability, and distribution reporting, specifically tailored for agricultural logistics and distribution operators. The exact scope of any engagement is defined in a separate Master Services Agreement (MSA) or Statement of Work (SOW).

2. Acceptance of Terms

By accessing or using our Website or services, you agree to be bound by these Terms and our Privacy Policy.

3. Intellectual Property

Upon full payment of all undisputed fees for a project, Global Agri assigns to the client all rights, title, and interest in the custom code and platform developed specifically for that client. Global Agri retains ownership of pre-existing code libraries and reusable middleware used across multiple client projects, and grants the client a perpetual, royalty-free license to use those components within their delivered platform.

4. Client Responsibilities

Clients are responsible for providing timely access to load, sensor, and buyer data required to complete the engagement, and for maintaining their own compliance obligations under applicable agricultural and food-safety law. Delays caused by the client may result in adjusted timelines or additional fees.

5. Fees and Payment

Fees for services are set out in the applicable SOW and billed according to the milestone structure described in that agreement. Late payments may result in a pause of active work until the account is current.

6. Limitation of Liability

To the fullest extent permitted by law, Global Agri shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services. Our software supports logistics and compliance workflows but does not substitute for a grower's or operator's independent professional judgment.

7. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions.
